Assistant Manager, Company Affairs – for Renowned Trading Company.
#Location: Dhaka
• Complying the statutory obligations as required by the Companies Act, Company’s Constitution, rules and regulations of Bangladesh Securities and Exchange Commission and Stock Exchange(s).
• Providing the administrative and logistics support in preparation of meetings of the Board of Directors, sub-Committees, senior Management and General Shareholders.
• Drafting the Notice, Memo, Proceedings, Minutes of the meeting and conveying decisions as well as assist in the implementation of corporate strategies by ensuring that the board’s decisions.
• Prepare agendas and papers for board meetings, committees and annual general meetings (AGMs) and follow up on action points.
•Take minutes, draft resolutions, and lodge required forms and annual returns
• Filling all returns to the Registrar of Joint Stock Companies and Firms as per the Companies Act 1994, Bangladesh Securities & Exchange Commission, Stock Exchanges and Bangladesh Bank
• Preparing Annual Report, Compliance Reports, and other various types of reports, policies and presentation as assigned by the Board of Directors.
• Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
• Maintaining the company’s statutory books including registers of members, directors and secretaries and liaison with Govt. bodies for updating various licenses, permissions, certificates and agreements.
• Liaise with external regulators and advisers, such as lawyers and auditors
• Dealing with RJSC, BOI, NBR, MCCI and Dhaka City Corporation for the various purposes
#Academic_Qualification:
- Post Graduate in any discipline from a reputed public/private university with good academic record.
- L.LB/L.L.M &Chartered Secretary from Institute of Chartered Secretaries of Bangladesh (ICSB) will get higher preference
#Relevant_Experience: 05 to 07 years of experience required.
#Required_Skills: Good knowledge on MS Office, Intelligent, Dynamic, Excellent proficiency in writing skills, interpersonal communications, verbal deftness in both English & Bangle
